Terms and Conditions for Endoscope Loaner Agreement

1. Ownership

The endoscope (“Equipment”) provided under this loaner agreement (“Agreement”) is owned by the Lender (Endoscope Services). The Borrower is permitted to use the Equipment under the terms outlined in this Agreement and does not acquire any property rights to the Equipment.

2. Equipment Use

The Borrower agrees to use the Equipment for its intended medical or research purposes only and in accordance with the manufacturer’s guidelines and all applicable laws and regulations. The Borrower is not allowed to sublease, rent, sell, or otherwise distribute the Equipment to third parties.

3. Maintenance and Repairs

The Borrower agrees to maintain the Equipment in good working condition, excluding normal wear and tear. The Borrower is responsible for all costs associated with repair or replacement of the Equipment due to misuse, neglect, or accidental damage.

4. Return of Equipment

The Borrower agrees to return the Equipment to the Lender in the same condition in which it was received, except for ordinary wear and tear, upon the expiration or termination of this Agreement.

5. Loss or Damage

In the event of loss or damage to the Equipment, the Borrower shall notify the Lender immediately. The Borrower is responsible for the cost of repairing or replacing the Equipment.

6. Liability and Indemnification

The Borrower assumes all liability for injuries or damages resulting from the use of the Equipment. The Borrower agrees to indemnify and hold the Lender harmless from any claims, costs, or damages related to the use or possession of the Equipment.

7. Termination

The Lender reserves the right to terminate this Agreement at any time if the Borrower fails to comply with the terms of this Agreement. Upon termination, the Borrower must return the Equipment immediately.

8. Insurance

The Borrower agrees to maintain appropriate insurance coverage for the Equipment at all times during the term of this Agreement, protecting against loss, theft, or damage.

9. Confidentiality

The Borrower agrees to keep confidential any proprietary information related to the Equipment that is disclosed by the Lender during the term of this Agreement.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of State of Victoria, Australia..
